Harris Teeter Names Lead Independent Director

After approving an amendment to the company’s bylaws to allow for the designation of a lead independent director, Harris Teeter Supermarket Inc.’s board of directors, at a regularly scheduled meeting, chose Robert H. Spilman Jr. for the position.

Spilman, who has been a director of Matthews, N.C.-based Harris Teeter since August 2002, will continue as chairman of the board’s corporate governance and nominating committee. As lead independent director, he will preside at the executive sessions of non-management and independent directors, act as the chief liaison between the board chairman and the independent directors, and consult with the chairman on information to be sent to the board, meeting agendas and the creation of meeting schedules.

Additionally, at the same meeting, Harris Teeter’s board declared a quarterly dividend of 14 cents per share to be paid on Oct. 1 to shareholders of record on Sept. 7.

Harris Teeter operates stores in eight states, primarily in the Southeastern and mid-Atlantic states, as well as the District of Columbia.
