Ahold Announces Leadership Team for Merged Stop & Shop/Giant Food Organization

CHANTILLY, Va. - Bill Grize, president and c.e.o. of Ahold USA here, today announced further steps in the integration of its Stop & Shop and Giant-Landover companies into a single operating arena, based in Quincy, Mass., with the appointment of the executive team for the new combined organization.

Marc Smith, currently the president and c.e.o. of Stop & Shop, will assume the role of president and c.e.o. of the new organization, reporting to Grize. Reporting directly to Smith will be Jose Alvarez, s.v.p. of supply chain; Maureen McGurl, e.v.p. of human resources; Barry Berman, e.v.p. of sales and marketing; Bill Holmes, e.v.p. of operations; and Rick Picariello, e.v.p. and c.f.o.

Tom Hippler, current general counsel for Stop & Shop, will be assuming the role of general counsel for Ahold USA Retail, reporting to Grize and Peter Wakkie, Ahold/Netherlands chief corporate governance counsel, and will support the new combined Stop & Shop and Giant-Landover organization.

Giant-Landover's president and c.e.o., Dick Baird, has announced his decision to retire in July 2004, after more than 30 years of service with Stop & Shop and Giant-Landover. Baird will continue to lead the Giant-Landover business and co-lead the company's integration efforts until his retirement.

Current Giant-Landover officers Jim Astuto, e.v.p., store operations and distribution; Bob Evans, e.v.p. and c.f.o.; and Bernie Ellis, e.v.p., merchandising will remain in their current positions through the remainder of the year to support the integration. Astuto, Evans, and Ellis will continue to report to Baird.

Ann Weiser, Giant's e.v.p., human resources, will leave Giant at the end of February to assume a new role within Ahold.

"The combination of Stop & Shop and Giant-Landover with 2003 reported sales of $15.4 billion creates a business that is capable of achieving excellence locally and delivering greater value to our customers and communities," Grize said.

Commenting on this announcement, Ahold president and c.e.o. Anders Moberg said, "This is part of our stated commitment and strategy to focus on generating value for customers. The appointment of this leadership team is one of the essential steps that will enable us to bring these companies together and ultimately improve our customer offering."
